1. OUR SERVICES

Zyntaur provides engineering, consulting, and related digital services. Our Services may include strategy calls, custom deliverables, and email communication using third-party tools such as Calendly for bookings and Resend for transactional emails.

You are responsible for ensuring that your use of the Services complies with applicable laws and regulations in your jurisdiction.

2. INTELLECTUAL PROPERTY RIGHTS

We own or are licensed to use all intellectual property in the Services, including source code, designs, content, documentation, and trademarks (“Content” and “Marks”).

Deliverables we create specifically for you under the Services (“Output”) become your property upon full payment. Until payment is received, Zyntaur retains ownership rights.

You may not copy, reproduce, or use our Content or Marks for any commercial purpose without prior written consent.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You are at least 18 years old.
• All information you provide is accurate and complete.
• You will comply with these Terms and applicable laws.
• You will not use the Services for illegal or unauthorized purposes.

4. USER REGISTRATION

You may need to register to use certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

5. BOOKINGS AND PAYMENT

Strategy calls are booked via Calendly, and confirmations/follow-ups are sent using Resend.

All fees for Services will be invoiced or agreed upon in a statement of work. Payment is due within 30 days unless otherwise stated. Payments can be made via accepted methods listed in the invoice.

6. CANCELLATION

Strategy call bookings may be canceled or rescheduled via Calendly according to our booking policy.

Deliverables are subject to the payment and cancellation terms defined in the individual statement of work.

7. PROHIBITED ACTIVITIES

You may not:

• Misuse or interfere with the Services or Content.
• Upload malware, spam, or harmful content.
• Violate the intellectual property rights of Zyntaur or third parties.
• Use automated scripts or tools to access the Services except as authorized.

8. CONFIDENTIALITY

Any confidential information shared between you and Zyntaur must be kept confidential and only used for the purposes of the Services. Confidential Information does not include information that is publicly known, independently developed, or required to be disclosed by law.

9. PUBLICITY

Zyntaur may, with your prior written approval, use your name, logo, or testimonial in marketing materials.

10. THIRD-PARTY SERVICES

We use third-party services including:

• Calendly for call scheduling
• Resend for email delivery

These services are subject to their own terms and privacy policies.

11. SERVICE MANAGEMENT

Zyntaur reserves the right to monitor, manage, or restrict access to the Services to maintain security, performance, and compliance with these Terms.

These Terms remain in effect until terminated. Zyntaur may terminate your access immediately for breach of these Terms, non-payment, or illegal activity. You may terminate by notifying us in writing.

Zyntaur may modify, suspend, or discontinue the Services at any time. We are not liable for interruptions or changes to the Services.

These Terms are governed by the laws of the jurisdiction in which Zyntaur is registered.

Disputes will be resolved through negotiation first, and then, if necessary, binding arbitration in accordance with applicable law.
